1. Acceptance of Terms

Welcome to Kyndi, an AI-powered personal assistant service ("Service"). By accessing or using Kyndi, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Kyndi is an AI personal assistant that helps you manage communications and scheduling by integrating with:

• Gmail: Read, compose, send, and permanently delete emails on your behalf when you explicitly request these actions
• Google Calendar: View, create, modify, and delete calendar events and calendars when you explicitly request these actions
• Twitter/X: Create and schedule posts
• LinkedIn: Create and publish professional posts

The Service uses OpenAI's GPT-4 to understand your requests and execute actions through connected platforms. All actions are performed only when you explicitly instruct the AI assistant to do so.

3. Eligibility

You must be at least 13 years old (or the minimum age in your jurisdiction) to use our Service. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian's permission.

By using Kyndi, you represent and warrant that you meet these eligibility requirements.

4. Account Registration & Security

To use Kyndi, you must create an account through our authentication provider (Clerk). You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

We are not liable for any loss or damage arising from your failure to maintain account security.

5. Platform Integration & Authorization

To use Kyndi's features, you may connect third-party accounts (Gmail, Google Calendar, Twitter/X, LinkedIn) through OAuth authentication. By connecting these accounts, you:

• Grant Kyndi permission to access these services on your behalf with the specific scopes required for the Service
• Authorize us to perform actions you explicitly request through the AI assistant
• Remain responsible for all content posted or sent through these platforms
• Acknowledge that you can revoke access at any time through the Settings page or directly through the platform's security settings

5.1 Google Services Authorization

When connecting Gmail and Google Calendar, you grant Kyndi the following specific permissions:

• Gmail API (https://mail.google.com/): Read, compose, send, and permanently delete emails from your Gmail account
• Gmail Modify (https://www.googleapis.com/auth/gmail.modify): Read, compose, and send emails from your Gmail account
• Calendar API (https://www.googleapis.com/auth/calendar): See, edit, share, and permanently delete calendars you can access
• Calendar Events (https://www.googleapis.com/auth/calendar.events.owned): See, create, change, and delete events on Google calendars you own

Important: We only perform actions you explicitly request. We do not automatically post content, send communications, or access your data without your explicit instruction. We do not continuously monitor, scan, or access your Gmail or Calendar data.

6. User Content & Ownership

You retain full ownership of all content you create, send, or post using Kyndi. By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

• Process and transmit your content to connected platforms (Gmail, Calendar, Twitter, LinkedIn)
• Temporarily store your messages for AI processing and service delivery
• Use anonymized, aggregated data for service improvement

You represent and warrant that:

• You own or have the right to use all content you create and share
• Your content does not violate any laws, intellectual property rights, or third-party terms
• You will not use the Service to send spam, malicious content, or illegal materials

7. Third-Party Platform Compliance

When using Kyndi with third-party platforms, you agree to comply with their respective terms of service:

• Google Terms of Service (Gmail, Calendar)
• Twitter/X Terms of Service
• LinkedIn User Agreement

You acknowledge that:

• Violating these platform terms may result in suspension of your third-party accounts
• Kyndi is not responsible for actions taken by third-party platforms
• Each platform may have its own content policies and restrictions

9. AI Processing & OpenAI

Kyndi uses OpenAI's GPT-4 to process your messages and generate intelligent responses. By using Kyndi, you acknowledge that:

• Your chat messages and relevant Google user data (email content, calendar event details) are sent to OpenAI for processing
• This processing is necessary for the Service to understand your requests and generate appropriate responses
• OpenAI processes data according to their own terms and policies (OpenAI Privacy Policy)
• OpenAI is contractually obligated to use this data only for providing the AI processing service
• AI responses may not always be accurate or appropriate
• You should review all content before it is sent or posted on your behalf

Important: Always verify AI-generated content before approving actions, especially for professional communications. You are responsible for all content sent or posted through your connected accounts.

10. Prohibited Uses

You agree NOT to use Kyndi to:

• Send spam, unsolicited emails, or mass automated messages
• Upload or distribute harmful, abusive, obscene, defamatory, or illegal content
• Impersonate others or misrepresent your identity or affiliation
• Violate any applicable laws or regulations
• Attempt to reverse engineer, hack, or compromise the Service
• Bypass rate limits or abuse the Service's features
• Collect or harvest data from other users
• Use the Service for any unlawful or fraudulent purpose

Violation of these prohibited uses may result in immediate termination of your account and potential legal action.

11. Service Availability & Limitations

Kyndi is provided on an "as-is" and "as-available" basis. We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• All features will work with all third-party platforms at all times
• AI responses will always be accurate or appropriate
• Scheduled posts or emails will always be sent at the exact scheduled time

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

12. Limitation of Liability

To the maximum extent permitted by law:

• Kyndi and its affiliates are not liable for any indirect, incidental, special, or consequential damages
• We are not responsible for content loss, data breaches of third-party platforms, or account suspensions
• We are not liable for any damages resulting from AI-generated content or automated actions
• Our total liability for all claims shall not exceed the amount you paid for the Service in the past 12 months

Some jurisdictions do not allow limitations on implied warranties or exclusions of liability, so the above may not fully apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kyndi and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms or any applicable laws
• Content you create, send, or post through the Service
• Your violation of third-party rights or terms

14. Account Termination

14.1 Termination by You

You may terminate your account at any time through the Settings page. Upon termination:

• Your access to the Service will cease immediately
• Your data will be deleted according to our Privacy Policy (within 30 days)
• All scheduled posts and emails will be cancelled
• OAuth tokens will be revoked

14.2 Termination by Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Use
• You engage in fraudulent or illegal activities
• Your account poses a security risk
• Required by law or regulation

We will attempt to notify you before termination when possible, but reserve the right to terminate immediately in cases of serious violations.

15. Privacy & Data Protection

Your privacy is important to us. Please review our comprehensive Privacy Policy to understand how we collect, use, store, and protect your personal data.

• We do not sell your personal data
• We use encryption and security best practices
• You can export, delete, or modify your data at any time
• We comply with applicable data protection regulations

16. Intellectual Property

All intellectual property rights in the Service, including software, designs, logos, and trademarks, belong to Kyndi or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal purposes.

You may not:

• Copy, modify, or distribute our software or content
• Use our trademarks or branding without permission
• Reverse engineer or attempt to extract source code

17. Changes to Terms

We may update these Terms of Use from time to time. When we make material changes:

• We will update the "Last Updated" date at the top
• We will notify you via email or in-app notification
• We will provide at least 30 days' notice for significant changes

Your continued use of Kyndi after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you should discontinue use and delete your account.

18. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of France.

Any disputes arising from these Terms or your use of the Service shall be subject to the jurisdiction of the French courts. For users within the European Union, you retain all rights under applicable consumer protection laws.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kyndi.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

19.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
